Terms of Service – Axon MDM Solutions

These Terms of Service ("Terms") constitute a legally binding agreement between Axon MDM Solutions Pvt. Ltd. ("Axon MDM", "we", "us") and the business entity or individual ("Client", "you") accessing or using the Axon MDM platform. By using our platform, you agree to these Terms in their entirety.

1. Description of Service

Axon MDM Solutions provides a cloud-based Mobile Device Management (MDM) platform that enables enterprises to enroll, configure, monitor, and remotely manage Apple iOS and iPadOS devices via Apple's official MDM protocol and Apple Business Manager (ABM).

2. Eligibility and Account Registration

Our platform is exclusively available to legally registered business entities. By creating an account, you represent and warrant that:

You are a duly registered business with a valid GSTIN or equivalent business registration.
You have the legal authority to enter into this agreement on behalf of your organization.
All information you provide during registration is accurate and up to date.

3. Authorized Use and Device Ownership

You may only enroll devices into the Axon MDM platform that are legally owned or controlled by your Organization, or for which you have a legally documented right to manage (e.g., financed devices held as collateral under a signed customer loan agreement). You must ensure that your end-user agreements legally disclose and permit the application of remote device management and restriction policies.

4. Compliance with Laws

You agree to use the Axon MDM platform in full compliance with all applicable laws and regulations, including but not limited to:

The Information Technology Act, 2000 (India) and its amendments.
Reserve Bank of India (RBI) guidelines applicable to Non-Banking Financial Companies (NBFCs), if applicable.
The Consumer Protection Act, 2019, where end-user disclosures are required.
Apple's Apple Business Manager License Agreement and MDM Protocol guidelines.

5. Acceptable Use Policy

You agree not to use the Axon MDM platform to:

Manage devices you do not own or have legal authority over.
Violate the privacy of end users beyond what is disclosed in your user agreements.
Conduct unauthorized remote wipes or locks without a legitimate contractual basis.
Circumvent Apple's platform security policies or violate Apple's Developer Program License Agreement.

6. Service Availability and SLA

Axon MDM targets 99.9% monthly uptime for its core platform. Scheduled maintenance windows will be communicated 48 hours in advance. Axon MDM is not liable for service interruptions caused by Apple's APNs infrastructure, force majeure events, or third-party dependencies outside our reasonable control.

7. Subscription, Billing, and Cancellation

Subscriptions are billed monthly or annually in advance. All fees are non-refundable except as required by applicable law. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing cycle. Upon cancellation, your devices will be unenrolled from the Axon MDM platform.

8. Limitation of Liability

To the maximum extent permitted by law, Axon MDM's total liability to you for any claim arising out of or related to these Terms shall not exceed the fees paid by you in the three (3) months immediately preceding the event giving rise to the claim. Axon MDM shall not be liable for any indirect, incidental, consequential, or punitive damages.

9. Modifications to Terms

We reserve the right to modify these Terms at any time. Clients will be notified via the registered account email at least 30 days before any material changes take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Delhi, India.
